1. Services Offered & Contractor Identification
This agreement governs software engineering services provided by the legal entity and sole proprietorship Lucas Martins do Carmo Borges (trading as LookADev, "Developer", "we", "our") to individuals and corporate entities ("Client" or "User").
Our core technical offerings include:
- Ultra-Fast Next.js Websites (7-Day Sprint): High-converting landing pages and business platforms engineered in Next.js and React with sub-second mobile load speeds.
- Custom Web Systems & SaaS Dashboards: Bespoke management software, client portals, automated invoicing, and business workflow hubs.
- WhatsApp AI Automations & Conversational Bots: Official WhatsApp Business API integrations, 24/7 automated lead qualification, appointment booking, and CRM synchronization.
- VibeCoder AI Code Audits & Sprints: Rigorous code inspection, security vulnerability elimination, backend hardening, and UI/UX elevation for apps built via AI tools (Cursor, v0, Bolt, Windsurf, Lovable).
- LookADev Developer Directory & Job Board: Direct match platform connecting clients with skilled software engineers without middleman markups.
2. Sprint Methodology and Turnaround Schedules
We execute projects via Focused Engineering Sprints. Official delivery turnaround (e.g., 7 business days for Web and VibeCoder Sprints, or 48 hours for Technical Audit Reports) commences on the first business day following the satisfaction of two prerequisites:
1. Financial Confirmation
Settlement of the 50% project deposit or the full package amount.
2. Project Inputs Received
Provision of essential assets (repository access, copy, branding, API keys, and deployment credentials).
Delays in client asset delivery or structural change requests outside validated scope will adjust milestone timelines proportionally.
3. Intellectual Property and Source Code Ownership
We believe you should unconditionally own the software you pay for:
- 100% Client Ownership: Upon receipt of full settlement, all copyright, source code, database schemas, and custom UI designs created specifically for the project are completely transferred to the Client.
- Open-Source Components: Open-source packages utilized (React, Next.js, Tailwind, Drizzle, Lucide) remain governed by their respective public licenses (MIT, Apache 2.0, BSD).
- Portfolio Showcase: Unless an explicit mutual NDA specifies otherwise, LookADev reserves the right to reference non-confidential project milestones in its portfolio as technical proof of work.
4. Client Responsibilities
The Client agrees to:
- Provide accurate, lawful requirements and assets free from third-party copyright infringements.
- Ensure proper legal authorization for all trademarks, media, and copy supplied for inclusion in the deliverables.
- Designate an authorized project representative for milestone acceptance and user acceptance testing (UAT).
- Maintain secure credential management and access controls post-deployment.
5. VibeCoder Confidentiality & NDA Commitment
We recognize the proprietary value of early-stage SaaS and AI prototypes. In all VibeCoder Code Audits:
- LookADev binds itself to strict technical and commercial confidentiality regarding your architecture, competitive logic, and product roadmap.
- Zero client source code is retained, copied, or used for internal or external derivative projects.
- Repository access is severed and local development sandboxes are wiped immediately post-delivery.
6. Third-Party APIs and Infrastructure Providers
Our solutions interface with leading external cloud providers and APIs (Meta WhatsApp Cloud API, OpenAI, Anthropic, Vercel, Supabase, Stripe, Cloudflare):
- Direct consumption and usage fees charged by third parties (AI tokens, WhatsApp message rates, cloud hosting tiers) are the direct financial responsibility of the Client.
- LookADev is not liable for upstream service interruptions, policy changes, rate-limit adjustments, or account suspensions initiated by external platform vendors.
7. Invoicing, Payments, and Refund Policy
Payments are handled securely via agreed channels (Bank Transfer/PIX, Stripe, or International Invoice):
- Payment Milestones: Standard projects operate on a 50% deposit prior to sprint commencement and 50% upon final staging sign-off prior to production deployment.
- Voluntary Cancellation: If the Client cancels after technical work has begun, the initial deposit is non-refundable, compensating engineering hours and reserved development capacity.
- Performance Assurance: In the unlikely event that LookADev is unable to deliver the validated scope to agreed technical specifications, all payments made for the unfulfilled scope will be refunded in full.
8. 14-Day Post-Launch Technical Warranty
Every project delivered by LookADev includes a 14-day comprehensive technical warranty starting on the official deployment date:
Any technical defects or broken functionality within delivered scope are repaired at zero additional cost.
Fine-tuning layout alignments across mobile, tablet, and desktop viewports.
9. Limitation of Liability
To the fullest extent permitted by applicable law, LookADev shall not be liable for indirect, incidental, special, or consequential damages resulting from the use or inability to use the software. Our total aggregate liability under any claim arising from an engagement shall be capped at the total amount paid by the Client for the specific service involved.
10. Governing Law and Dispute Resolution
This agreement is governed by the following jurisdictional rules:
- UK & European Clients: Governed by the laws of England and Wales.
- Brazilian Clients: Governed by the laws of the Federative Republic of Brazil.
- US & Global Clients: Governed by standard international commercial mediation and arbitration protocols.
